年年底，僅融創孫宏斌、龍湖吳亞軍、達利許世輝、周黑鴨唐建芳就向海外家族信託投出了橄欖枝，4人將價值約1億元的企業股份交了出去，其慷慨闊綽令人咋舌。

從「狡兔三窟」的傳統心理來說，將財富放在海外，也多了一層安全保障，然而海外（離岸）家族信託並不是萬能保險箱，更不是避稅、逃稅的白手套。海外家族信託真有這麼神奇嗎？

普加喬夫的「算計」

年10月11日，俄羅斯銀行大亨謝爾蓋·普加喬夫栽了。當天，英格蘭和威爾斯高等法院裁定，普加喬夫的5個紐西蘭資產保護信託「無效」，債權人可以向信託資產提出索賠。

普加喬夫曾是俄羅斯頂級富豪，克里姆林宮的「大管家」，巔峰期其個人資產達億美元。

年，普加喬夫創立的私有銀行Mezhprom受金融危機所累，年破產，國際知名清算組織DIA擔任破產清算人。隨後Mezhprom銀行和DIA，以債權人的身份向普加喬夫提出索賠，並向英格蘭和威爾斯高等法院提出凍結其全球財產。凍結財富過程中，普加喬夫在紐西蘭設立的5個家族信託也隨之露出水面。

為轉移財產，年至年，Mezhprom銀行清算期間，普加喬夫設立了這5個全權家族信託，信託資產約萬美金。在設立信託時，普加喬夫將自己設立為信託的第一保護人，根據約定，保護人有權決定信託資金收益和本金的分配，決定信託資金的投資、自由增刪受益人、變更信託契約、給予或撤銷契約文件賦予的受託人的權利等；有權任命新的受託人、增加新的受託人、以及受託人應就信託資產的具體投資上應獲得保護人之提前書面同意等。

年7月24日，普加喬夫行使了保護人權利，將5個信託原受託人改由其嚴密控制的4個新成立的信託公司。

經過審理，倫敦高等法院作了判決，認為信託本身並非信託財產的所有者，普加喬夫才是信託財產的所有者，債權人可以向其追償信託財產。

法院認為，普加喬夫設立信託契約時，賦予自己保護人角色並保留了廣泛的權利，其可借用保護人身份為自己的私利行使權利，該信託實際是「讓普加喬夫控制的信託資產」，並沒有「剝奪普加喬夫的實際所有權」；另一方面，保護人的權利屬於受託人，普加喬夫並沒有對信託資產的控制權和所有權，普加喬夫設立5個信託的意圖卻是讓其「保留最終的控制權」，因此信託契約是虛假的。而且，普加喬夫在債務追討期內設立信託，明顯屬於「欺詐性轉移」財產，是不合法的。

在普加喬夫案發生的前3年，香港也發生了一起類似的案例。

PLTO（簡稱P）與妻子KLK（簡稱K）於年在英國登記結婚，育有三名子女（其中2人於5年、年先後過世）。P自年開始創業，經過10多年發展，成立了AL工程集團有限公司（簡稱「AL集團」，為哺所有生意的控股公司），並擔任集團主席。

5年7月，P將AL集團%的股權及另外一家公司REY Limited的股權（該公司持有P先生與妻子兒女共同居住的房屋）放在一起，設立了名為「TOPF Trust」（簡稱「信託」）的離岸家族信託（受託人為西班牙一家信託公司）。

年2月P提出離婚申請，年9月法院頒發了「永久離婚令」。隨後K申請上訴，要求對半分割信託財產。而P方認為，該家族信託中包含了女兒的權益，夫妻雙方僅擁有2/3的信託價值，K只能分割其中一半的財產。

香港終審法院在審理中發現，在信託契約中，P為信託委託人、保護人和受益人之一。作為保護人，他擁有更換受託人、處置與分配信託資產或收益分的權利。

此外，法院還發現信託受託人並未參與到AL集團任何經營管理中，甚至沒有投票權和表決權。P不僅是AL集團的實際經營者，實質上已經成為AL集團的實際控制人。該信託的收入完全來源於AL集團所派發的股息，而且股息派發的時間及多少完全由P控制的公司董事會則決定。

因此香港終審法院最終否決了「該信託的價值中只有2/3權益是雙方的婚姻資產」的觀點，認為整個信託完全系P個人可支配的財產，應當作為夫妻的共有財產進行依法分配，最終P向前妻K女士支付約億美元的費用。

威力來源於合法與正義

以上兩個案例表明，海外（離岸）家族信託並非是隨意可以操弄的避債工具或私人「小金庫」。實際上海外（離岸）家族信託的成立依然要以合法、合規、合情為前提。

普加喬夫似的借信託工具惡意躲避債務的行為被世界各國廣泛認為屬於「欺詐債權人信託」，這樣的信託幾乎在任何國家都得不到承認和保護。 普加喬夫及香港P先生的家族信託之所以被「擊穿」（不合規而視為無效），另一個重要原因就是兩人在信託契約中為自己預留了過多的權利，受託人幾乎被完全架空，導致整個信託契約失去了意義。

實際上，自將財富委託給受託人那一刻開始，委託人就應該有失去財富控制權的自覺意識，因為只有讓受託人對財富擁有獨立的管理、運作的權力，信託財產才能獨立於受託人、受益人而存在，也只有這樣，財產隔離才具有意義。既不想失去財產的控制權，又想讓信託財產安全隔離，這樣的信託在是個世界還不存在。

家族財富傳承無論採取何種形式進行傳承，都必須考慮合法公平、正義良俗，否則都不會受到法律保護。

很多富豪不想失去財富控制權，很大程度上源於擔心對財富「失控後」所託非人，特別是在自己身故後，受託人不能達到自己的委託意願。而且，在實際的案例中，的確發生過受託人因管理運作不當或瀆職，甚至惡意侵占，導致委託人財富巨大損失的案例。在這一點上，可通過設立自己以外的其他親密者作為「保護人」對受託人進行監督。但「保護人」的權利不能太大，如果大到完全架空受託人，同樣會使整個信託失去意義，而最終失去法律的保護。

在某些機構的宣傳里，海外（離岸）家族信託猶如逃稅、避稅的利器，實際上隨著全球CRS（銀行涉稅信息統一申報標準）的實行，很多設立在「避稅天堂」的離岸公司（包括家族信託）都被納入到各國稅收信息的交流環節之中。目前，全球已有多個國家加入了CRS協議之中，其中包括開曼群島、英屬維京群島（BVI）、巴拿馬、澤西島等「避稅天堂」。年1月1日，開曼群島和BVI（英屬維京群島）正式實施《經濟實質法令》，法令規定：只要在當地成立和註冊的公司，除了投資基金以外，都需要在開曼有實質性的經營業務，比如定期召開董事會，在開曼從事核心創收活動，要有與公司形成的收入相符合的營運支出、員工人數，必須當地稅務局提交基本稅務報表，以證明公司存在實質性經營。否則將面臨罰款、註銷甚至牢獄之災的風險。

此舉迅速打開了「避稅天堂」的神秘闕口，富豪們藏在「避稅天堂」的財富自此不再雲遮霧罩。如繼續掩藏，富豪們將面臨「避稅天堂」當局的罰款，並將受到其住在國稅務機關的追討和罰款。

總之，家族信託特別是海外（離岸）家族信託並非是萬能的財富保險箱，其保險性依然來自於社會所公認的合法、公平與正義。任何來自於非法渠道，用於非法目的家族財富，任何違背公義良俗、正常邏輯的財富信託，最終都將失去其保護的外殼。

A few years back Kate Spade committed suicide. A few months ago, I heard about Miss USA , Cheslie Kryst, committing suicide. When we look at these women they seem like they had it all together, right? They were successful. They were beautiful. They were &#;happy&#; it seemed. They &#;had it all.&#; 

Recently, I was at a bible study that I am leading for 11th and 12th graders and their friend tried to overdose. It has been 10 years since I graduated high school and the amount of people that have taken their lives since then is very heartbreaking. 

It breaks my heart so much hearing about any suicide. My heart hurts thinking about the pain someone must have been experiencing at that moment and season of their life. 

I have personally dealt with depression. I went through a very hard season of just living in constant darkness around me. The feeling of tight pressure in my heart. This feeling of constant ache haunted me. I genuinely do not know what I would have done in that season without my faith in Jesus Christ. Without my faith in knowing God works it ALL for good of those who love Him and are called according to their purpose, I would have been in that dark hole and I don&#;t know if I ever would have come out. 

Something I realized is no matter what, everyone, and I mean everyone is struggling with something. Behind closed doors all of our hearts are breaking someway and somehow. 

I cant imagine the pain, the struggle and the feeling of being so lost that would push someone to take away their own life but what I want to make sure of is this, you know you’re not alone. It is okay to not be okay. It is okay to have problems because who the heck in this world doesn&#;t?

Everyone is struggling with something. 

I want you to know, you&#;re loved. You’re not just loved by me, but by Jesus. He loves you so much He died for you. 

And as my girl, Jordan Dooley would say, &#;Your brokenness is welcome here.&#; Because it is. We are all a little broken, someway, and some how. But, what I have percent belief and faith in is Jesus is the only true way to happiness in this fallen world. He is the only way to fill that void in your heart.

No amount of money can bring you happiness. 

No amount of fame can bring you happiness. 

No amount of success can bring you happiness.

No amount of beauty can bring you happiness. 

No amount of anyTHING can bring you happiness.

No human being can bring you happiness. 

Maybe these things will bring you happiness for a short amount of time, yes. But what I am talking about is not just temporary happiness, but something lifelong. Something everlasting. Something eternal, not just transient. Something that does satisfy. Something that does fulfill and that&#;s Jesus.

Jesuscan bring that contentment you’re longing for. 

Jesus can bring joy to your life younever thought was possible. 

Jesus can bring you peace you’re so desperately needing.

Jesus can bring you purpose. 

Jesus can bring you life.

Jesus died on a cross 2, years ago for you and I to find life in Him and to LIVE and LIVE ABUNDANTLY. 

So let&#;s love one another just as Christ has loved us.

Peut-on faire des Yaourts avec une base de kéfir de Lait ?

Telle est la question qui revient fréquemment sur les groupes

Ma curiosité piquée, j'ai décidé de tenter différentes expérimentations afin de trouver quelle version me semble la plus goûteuse tout en respectant le matériaux de base et ses bienfaits

Il faut savoir que le kéfir n'aime pas une montée en température suppérieure à 37°

Sa composition de levures et de bactéries se déstructure au delà de cette chaleur, ce qui par ailleurs permet de réaliser des fromages du type Mozzarella de kéfir, Ricotta de petit lait, Panna Cotta, Marscarpone qui sont gustativement délicieux et innovants mais qui n'auront alors plus les propriétés de probiotiques du kéfir

Les yaourtières proposant pour la plupart des températures de 45° pour le premier programme (quand elles en ont plusieurs)
Je suis partie sur un simple bain-marie au four chaleur tournante à 40°

Vérification faite à l'aide d'un thermomètre, l'eau du bain marie atteint une température de 35° maximum
Et le contenant de mes petits pots est à 31 voir 33°

La question suivante se pose est-ce que cette température sera suffisante pour transformer mon kéfir en yaourt ???

 




















Deux options me semblaient cohérentes à essayer

1. A partir de kéfir prêt à boire, version "Yop". Préparation avec du lait cru, 1ère fermentation de 24h, mis en bouteille directement après avoir filtré et 24h de frigo.

2. A partir d'une 2ème fermentation de 48h à température ambiante avec retrait du petit lait.

Hop hop hop c'est parti

1. A partir de Kéfir prêt à boire version "Yop"

Mon tout premier essai avec un pot de kéfir nature d'un délicitre au bain marie pendant 3h ne m'a pas vraiment satisfaite
Pas assez rafiné, trop dense presque granuleux, un peu trop acidifié bref pas assez lié et homogène pour moi.

Je suis alors partie sur 5 options:

1. Nature
2. Nature brassé
3. Nature avec ajout de crème à 35% (8cl de kéfir/2cl de crème)
4. Nature avec ajout de crème de riz  (1/2gr pour 1dl)
5. Nature avec ajout de tapioca (1/2gr pour 1dl)

Voilà au sortir de leur petit bain ce que ça donne après 1h de "sauna" l'image est assez parlante.
Impatiente de tester, j'ai encore cependant attendu 24h de plus avec réfrigération pour bien fixer le résultat.
24h plus tard

1. Nature
   Peu de petit lait, texture de yaourt mais pas assez structuré. Hors du frigo, revient rapidement à sa stucture d'origine (kéfir liquide) mais déstructuré
   Par contre par rapport à mon premier essai, il est doux avec un goût de yaourt sans acidité 
   Je pars sur un prochain essai de passage au bain marie pour une durée de 2h  
   Conserve les propriétés de ci-dessus gustativement mais à nouveau trop dense
   Le prochain prendra un bain de 1h30 et là c'est parfait.
   Un vrai yaourt ferme et agréable.
2. Nature Brassé
   Avec mon petit émultionneur à lait (pour faire la mousse des cappuccino) j'ai brassé mon kéfir de base
   Beaucoup plus de petit lait
   Le résultat  est très mousseux et fait plus fromage blanc que yaourt
   Mais c'est très bon
3. Nature avec ajout de crème liquide à 35%
   Petit lait assez important également
   Mousseux et très onctueux. Délicieux également!
4. Nature avec ajout de crème de Riz (1/2gr pour 1dl)
   L'idée étant d'apporter une liaison
   Très peu de petit lait, quasi identique au yaourt nature
   Aéré, rond, homogène, onctueux, léger
   Une légère acidité cependant
   Super bon!
5. Nature avec ajout de Tapioca (1/2gr pour 1dl)
   Beaucoup de petit lait
   Très mousseux mais pas homogène
   Rapeux en bouche 
   Bof bof pas terrible.

2. A partir d'une 2ème fermentation de 48h à température ambiante avec retrait du petit lait.

Plus que 4 candidats pour cette version, puisque le nature est forcément brassé (le pot tout à gauche est un nouvel essai de yaourt nature d'une f1, durée de bain marie 1h30) 
Et plus que 9ml par pot au lieu de 1dl, mais ça ne change rien au résultat

Constat global AUCUN n'a rendu de petit lait, la version à partir de 2ème fermentation et retrait initial du petit lait semble être une bonne option!!!
Vite goutons

1. Nature brassé
   Onctueux, légèrement acidulé comme un yaourt bulgare 
   Excellent !!!
2. Nature avec ajout de crème
   Juste TOPISSIME sauf pour les hanches :-(
3. Nature avec ajout de crème de riz
   Excellent, onctueux, doux, rond en bouche
   Toujours délicieux comme dans la version N°1 qui avait déjà rendu peu de petit lait, là il n'y en a plus du tout!
   Bonne version
4. Nature avec ajout de Tapioca
   Plus satisfaisant que la version N°1 au tapioca, homogène pour cette version ci
   Cependant on sent un peu les billes de tapioca, ce qui n'est pas gênant et qui même pourrait servir dans une version dessert aromatisé (peut être des idées à venir ;-) )
   Bon aussi !

En conclusion
Je retiens 3 versions

1.  le yaourt nature de 1ère fermentation et 2ème fermentation au frigo sans retrait initial de petit lait
   Temps de bain marie 1h30 dans un four à 40° (eau environ 35°)
2. le yaourt avec ajout de crème en version N°2 2ème fermentation de 48h et retrait de petit lait avant mise en pot
   Temps de bain marie 1h30 à 2h four à 40° (eau environ 35°)
3. le yaourt avec ajout de crème de riz en version N°2 2ème fermentation de 48h et retrait de petit lait avant mise en pot
   Temps de bain marie 1h30 à 2h four à 40° (eau environ 35°)

Et un petit outsider quand même en 4ème
le yaourt nature brassé de la version N°2 très bon aussi 
Temps de bain marie 1h30 à 2h dans un four à 40°

Certainement d'autres essais à venir avec des yaourts aromatisés et desserts au yaourt !!!!
